# Artoco Terms of Service

To protect your rights, please read and fully understand these **Terms of Service** (hereinafter referred to as "**these Terms**") carefully before use. These Terms constitute a legally binding agreement between you and **Artoco Ltd** (hereinafter referred to as "**the Company**" or "**Artoco**") regarding your use of this platform's products and services. By using the platform, you indicate that you have read, understood, and agreed to abide by all contents of these Terms.&#x20;

#### <mark style="color:green;background-color:$primary;">📖</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 1 | Introduction & Agreement Overview**</mark> &#x20;

**1.1** These Terms apply to all services and tools provided by the Artoco platform (including web, mobile applications, API services, etc.) accessed, registered, logged into, or used by users.

**1.2** Users shall fully understand and accept the meanings of the following terms:

* **NFT:** Non-Fungible Tokens generated via blockchain technology, used to signify the uniqueness and ownership of digital assets. 🔗
* **Platform:** Refers to the comprehensive NFT service platform provided by Artoco, including minting, issuance, trading, staking, airdrops, installment plans, etc.
* **User:** Refers to any natural person or legal entity that accesses, browses, registers on the platform, or participates in service operations.&#x20;
* **Content Assets:** Refers to images, videos, audio, AIGC works, etc., created or authorized for upload by users, and the digital rights derived from them on the platform. 🖼

**1.3** Users must clearly acknowledge before using the services: **This platform does not provide investment advice, does not promise returns, and is not liable for any consequences resulting from users' actions.**&#x20;

**1.4** If you disagree with any part of these Terms, you should immediately stop using the platform services. Otherwise, it will be deemed that you have accepted and agreed to all contents of these Terms.&#x20;

#### <mark style="color:green;background-color:$primary;">🔐</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 2 | User Eligibility & Account Registration**</mark>&#x20;

**2.1** Users of this platform's services must be at least **18 years old** and possess full civil capacity. Minors or individuals with limited legal capacity are prohibited from registering accounts.&#x20;

**2.2** During registration, users must provide **true, accurate, and complete information**, including but not limited to nickname, wallet address, and identity verification information (if applicable). False information may lead to account suspension or service restrictions.

**2.3** The platform reserves the right to refuse service to specific users based on its own risk assessments, especially users from sanctioned, prohibited, or high-risk regions.&#x20;

**2.4** Users are responsible for **safeguarding their account information, mnemonic phrases, private keys, etc.** The platform is not liable for any asset loss or account loss due to improper user custody.&#x20;

**2.5** Each user may only hold **one valid account**. Accounts must not be registered on behalf of others, rented, lent, sold, or transferred.

**2.6** The platform may, based on compliance requirements, regulatory policies, or anti-money laundering regulations, require users to provide identity verification materials and may suspend related functions until verification is complete.&#x20;

#### <mark style="color:green;background-color:$primary;">⚙️</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 3 | Platform Services & Usage Rules**</mark>&#x20;

&#x20;**3.1** Artoco provides services including but not limited to:

* NFT Creation & Minting Services&#x20;
* Multi-Chain Issuance & Marketplace Trading Services&#x20;
* Staking Mechanisms, Airdrop Activities & Installment Purchase Tools&#x20;
* Multi-language Community Communication, Task Systems, Content Interaction Modules&#x20;
* Brand Collaboration & Virtual Space Showcases, DAO Governance Interfaces, etc.

**3.2** Platform service features may be added, removed, optimized, or suspended based on business adjustments. Users should regularly follow platform notifications and updates.&#x20;

**3.3** All services operate by default on blockchain networks; transactions are **irreversible**, and NFT ownership is executed via smart contracts.&#x20;

**3.4** All content uploaded or generated by users on the platform must **comply with laws and regulations, not violate social morality, and not infringe upon others' rights**.

**3.5** The platform reserves the right to handle (including delisting, banning, removal, restricting functions, etc.) violations or inappropriate content/behavior.

#### <mark style="color:green;background-color:$primary;">🌐</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 4 | Intellectual Property & Content License**</mark>&#x20;

**4.1** Artoco owns all intellectual property rights to the platform's overall architecture, page design, system code, visual elements, algorithm logic, data analysis tools, etc.

**4.2** Users own the copyright to their original NFTs or uploaded content. However, during display on the platform, users automatically grant Artoco a **non-exclusive, worldwide license** for display, promotion, and publicity purposes.&#x20;

**4.3** Users shall not misappropriate, plagiarize, or sell platform content or others' works, including AIGC-generated works, third-party NFTs, etc.

**4.4** The platform supports AI generation tools. Copyright for content generated using AIGC services belongs to the user but must comply with copyright notices and lawful usage norms.&#x20;

**4.5** If content uploaded or created by a user is reported for infringement by a third party, the platform has the right to remove the content, suspend the account, and report to relevant authorities as appropriate.

#### <mark style="color:green;background-color:$primary;">🚨</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 5 | User Conduct & Prohibited Activities**</mark> &#x20;

**5.1** Users shall not engage in the following activities while using platform services:

* Using automated tools for bulk registration, web scraping, or trading manipulation.
* Manipulating market prices or misleading other users through fake transactions.
* Distributing malware, phishing links, or conducting hacking attacks.&#x20;
* Posting content involving discrimination, defamation, pornography, violence, or illegality.
* Using the platform for money laundering, fraud, illegal fundraising, terrorist financing, etc.&#x20;

**5.2** The platform reserves the right to review, block, remove, and pursue accountability, and may assist judicial authorities in obtaining relevant information.

**5.3** Upon violation of these Terms, the platform has the right to immediately suspend the user's service access and reserves the right to pursue legal liability.

**5.4** Users bear **full responsibility** for the legal consequences of their actions, including but not limited to civil compensation, criminal liability, and administrative penalties.&#x20;

#### <mark style="color:green;background-color:$primary;">💰</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 6 | Transaction Mechanism & Platform Fees**</mark> &#x20;

**6.1** All transactions on the platform are executed automatically via blockchain smart contracts and are **irreversible** once on-chain. Users must confirm all details before proceeding.

**6.2** Artoco may charge relevant fees for the following services, including but not limited to:

* NFT Minting Fees, Transaction Matching Fees, Staking Management Fees, Blind Box Release Fees&#x20;
* Installment Transaction Service Fees & Airdrop Activity Service Fees
* Custom Pricing Fees for Virtual Space Setup & Brand Collaboration

**6.3** The platform reserves the right to adjust fee structures. All fees are subject to real-time announcements. Users agree to bear potential network congestion fees (e.g., Gas fees) and on-chain transaction costs.&#x20;

**6.4** Unless explicitly stated otherwise, the platform **does not provide any form of refund service**.

**6.5** The platform does not participate in buying/selling nor guarantees NFT transaction liquidity or appreciation potential. Users should make independent judgments; the platform is not liable for any trading losses or speculative failures.&#x20;

**6.6** Users are responsible for all applicable tax obligations. The platform does not provide tax filing, payment, or consultation services.&#x20;

#### <mark style="color:green;background-color:$primary;">🔒</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 7 | Risk Disclosure & Liability Limitation**</mark> &#x20;

**7.1** Using platform services involves risks including blockchain technology risks, market volatility risks, system vulnerability risks, smart contract bug risks, etc. The platform is **not liable** for any losses arising from such risks.

**7.2** Users understand that NFTs are **not traditional securities or legal tender**, lack legal payment capability or mandatory circulation rights. Their value is highly volatile and may depreciate significantly or become illiquid.

**7.3** Valuation reference tools, rarity calculations, or recommended content provided by Artoco are auxiliary information and do not constitute investment advice or trading guarantees.

**7.4** The platform cannot recover nor is liable for asset losses due to user errors (e.g., leaking mnemonic phrases, misoperating contract addresses, sending to wrong addresses).&#x20;

**7.5** Features involving AI-generated content and Real World Asset (RWA) mapping are still experimental. Related data, models, and protocols have uncertainties. Users should use them prudently based on their own judgment.&#x20;

**7.6** The platform is exempt from liability if unable to operate normally due to force majeure events, including but not limited to war, natural disasters, policy changes, or network paralysis.&#x20;

#### <mark style="color:green;background-color:$primary;">⏸️</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 8 | Account Suspension, Restriction & Data Handling**</mark>&#x20;

**8.1** If a user is found engaging in any of the following, Artoco has the right to immediately freeze the account, suspend transactions, ban login, delete content, etc., without prior notice:

* Suspected money laundering, fraud, or non-compliant promotion.
* Publishing false information, misleading the market.
* Exploiting system vulnerabilities or third-party attacks on platform security.&#x20;
* Being reported by authorities, judicial organs, or partners.
* Violating any content of these Terms.

**8.2** When implementing restrictive measures, the platform will retain or terminate user account access based on the severity of the violation.

**8.3** Users may raise objections and submit appeal materials. The platform has the sole discretion to decide whether to restore the account.

**8.4** The platform does not guarantee that users can access, recover, or export their historical data, NFT assets, or content after account termination. Users should regularly back up their data.&#x20;

#### <mark style="color:green;background-color:$primary;">⚖️</mark> <mark style="color:green;background-color:$primary;"></mark><mark style="color:green;background-color:$primary;">**Article 9 | Dispute Resolution & Governing Law**</mark> &#x20;

**9.1** The formation, validity, performance, and dispute resolution of these Terms are governed by the laws of the platform's registered location, unless otherwise agreed.

**9.2** Disputes between users and the platform should first be resolved through negotiation. If unsuccessful, the platform may designate a competent arbitration institution or court for handling.

**9.3** Users explicitly agree **not to file any claims** against the platform through class actions or collective arbitration.

**9.4** If local user laws conflict with these Terms, these Terms shall prevail, provided they do not violate mandatory legal provisions.

**9.5** When fulfilling legal obligations, the platform may cooperate with government agencies, law enforcement, or judicial authorities to provide relevant materials such as user operation records and account information.&#x20;

**10.1** The platform reserves the right to add, delete, revise, or update these Terms based on business development, legal/regulatory changes, or security needs. Modified content will be announced on the platform and takes effect immediately upon update.

**10.2** Users are responsible for regularly reviewing changes to the Terms. Continued use of the platform after updates constitutes acceptance of the modified Terms.&#x20;

**10.3** These Terms constitute the **complete legal agreement** between the platform and the user, superseding all prior declarations, commitments, and negotiations.

**10.4** If any clause herein is deemed invalid by judicial or regulatory authorities, the validity of the remaining clauses remains unaffected.

**10.5** The platform reserves the **final right of interpretation** regarding these Terms.
